Terms of Purchase

These Consumer Purchase Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Customer") and Ferla Family Bikes ("Ferla," "we," "our," or "us"). These Terms govern the purchase, sale, delivery, financing, ownership, warranty, servicing, and use of all Ferla Family Bikes products, including electric bicycles, cargo bicycles, replacement parts, accessories, assembly services, and related products.

By placing an order, purchasing, accepting delivery, or using any Product, you acknowledge that you have read, understood, and agreed to these Terms together with our Shipping Policy, Return Policy, Limited Warranty, Privacy Policy, and Owner's Manuals, all of which are incorporated herein by reference.

APPLICATION OF TERMS

These Terms constitute the entire agreement between Ferla and the Customer and supersede all prior oral or written communications, representations, advertisements, estimates, promises, or understandings relating to any Product. No employee, dealer, reseller, or representative may modify these Terms unless authorized in writing by Ferla. The Customer acknowledges that no purchase decision has been made in reliance upon any verbal representation or statement not expressly contained in these Terms.

Ferla reserves the right to modify these Terms, product specifications, pricing, policies, promotions, and website content at any time. Updated Terms become effective upon publication on our website.

ONLINE ORDERS

Submission of an order constitutes an offer to purchase and does not constitute acceptance by Ferla. Order confirmations acknowledge receipt only. Ferla may refuse, cancel, or limit any order before shipment for inventory shortages, pricing errors, suspected fraud, payment verification issues, regulatory compliance, product discontinuation, force majeure events, or any lawful business reason.

PRICING AND PRODUCT INFORMATION

All prices are stated in U.S. Dollars and may change without notice. Ferla reserves the right to correct pricing, typographical, technical, or clerical errors at any time, including after an order has been placed. If an error materially affects an order, the Customer will be offered the option to proceed at the corrected price or cancel the order.

Photographs, renderings, colors, finishes, dimensions, specifications, and product descriptions are provided for illustrative purposes only. Actual Products may vary due to manufacturing improvements, supplier changes, display settings, or normal production tolerances. Ferla may improve, redesign, substitute (from different manufacturers provided substantially equivalent functionality is maintained), or discontinue components without prior notice, provided overall functionality is not materially reduced.

PAYMENTS

Payment is due at the time of purchase unless financing has been approved. Products remain the property of Ferla until payment has been received in full. Ferla reserves the right to verify payment information, decline transactions, and suspend warranty processing while payment disputes or chargebacks remain unresolved.

FINANCING

Financing is provided solely through third-party financing partners. Financing approval, payment schedules, and financing terms are determined exclusively by the financing provider. Purchases financed through Affirm remain subject to Ferla's Return Policy and all other applicable policies.

SHIPPING, DELIVERY, AND RISK OF LOSS

Shipping estimated timeline are estimates only and are not guaranteed. Risk of loss transfers to the Customer when the Product is delivered to the freight carrier. The Customer shall inspect the Product upon delivery and must be noted with the carrier. Failure to report visible defects or shortages within forty-eight (48) hours constitutes acceptance of the Product except for defects covered under the Limited Warranty.

Refusing delivery without Ferla's prior written authorization does not constitute cancellation or an approved return. Customers remain responsible for all applicable freight, storage, handling, and related charges.

RETURNS AND CANCELLATIONS

Ferla does not offer refunds for purchases except where required by applicable law. Eligible orders may qualify for store credit only, subject to the Return Policy. Orders may be cancelled within twenty-four (24) hours unless production has begun. Approved cancellations after that period may be subject to a cancellation or restocking fee as described in the Return Policy.

PRODUCT PERFORMANCE

Performance specifications, including speed, range, battery life, payload capacity, and estimated mileage, are based on controlled testing and are estimates only. Actual performance depends upon rider weight, cargo, terrain, weather, maintenance, battery condition, riding style, and numerous additional factors.

ASSEMBLY, MODIFICATIONS, AND COMMERCIAL USE

Customers declining Ferla's assembly service accept full responsibility for proper assembly. Unauthorized repairs, modifications, alterations, commercial rental use, fleet operation, or misuse may void applicable warranty coverage.

CUSTOMER RESPONSIBILITIES

Customers agree to operate Products safely, comply with all applicable laws, follow all manuals and safety instructions, perform routine maintenance, observe weight limitations, properly supervise child passengers, and use all safety restraints where applicable. Following service or assembly, Customers shall inspect the Product before each ride. Ferla shall not be liable for damage resulting from failure to inspect or maintain the Product after delivery.

CALIFORNIA PROPOSITION 65 NOTICE

Certain components, materials, coatings, batteries, electrical systems, or accessories used in or supplied with Ferla products may contain chemicals known to the State of California to cause cancer, birth defects, or other reproductive harm. Where required by California law, Ferla will provide Proposition 65 warnings with the applicable Product, packaging, labeling, or accompanying documentation.

Customers acknowledge that Proposition 65 warnings are informational in nature and do not necessarily indicate that a Product is unsafe when used as intended or in accordance with Ferla's instructions and applicable safety guidelines.

LIMITED WARRANTY

Warranty coverage is governed exclusively by Ferla's Limited Warranty. No advertisement, social media post, product description, or verbal statement creates any warranty beyond the written Limited Warranty.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Ferla shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost income, loss of business, loss of use, or property damage arising from the purchase or use of any Product. Nothing herein excludes liability that cannot legally be excluded under applicable law.

ASSUMPTION OF RISK

Electric bicycles involve inherent risks, including the risk of serious injury or death. By purchasing or using a Product, the Customer voluntarily assumes all risks associated with ownership and operation.

INDEMNIFICATION

The Customer agrees to defend, indemnify, and hold harmless Ferla, its affiliates, officers, directors, employees, agents, successors, and assigns from claims, losses, damages, liabilities, costs, and reasonable attorneys' fees arising from misuse, negligent operation, unauthorized modifications, improper assembly, violation of law, or breach of these Terms.

INTELLECTUAL PROPERTY

All trademarks, product names, manuals, photographs, videos, graphics, logos, software, and website content remain the exclusive property of Ferla or its licensors and may not be copied or used without prior written consent. Reverse engineering, copying, photographing for manufacturing purposes, 3D scanning, reproducing, or creating derivative works from Ferla products is prohibited.

ELECTRONIC COMMUNICATIONS

The Customer consents to receive notices, invoices, warranty information, recalls, updates, and legal communications electronically. Customers are responsible for maintaining current contact information. Failure to participate in a safety recall may void warranty coverage for resulting damage.

PRIVACY

Collection and use of personal information is governed by Ferla's Privacy Policy.

FORCE MAJEURE

Ferla shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, labor shortages, pandemics, supplier interruptions, custom and freight delays, tariffs, semiconductor and battery shortages, sanctions, governmental actions, cyber incidents, or utility failures.

GOVERNING LAW

These Terms shall be governed by the laws of the State of California. Any dispute shall be brought exclusively in the state or federal courts located in Los Angeles County, California, except where applicable law requires otherwise.

GENERAL PROVISIONS

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in effect. Failure by Ferla to enforce any provision shall not constitute a waiver. Rights and obligations that by their nature should survive termination shall survive. Headings are for convenience only.
